By accessing or using the Services, you agree to be bound by these Terms and all applicable laws. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts. By creating an account, you represent that all information provided is accurate, complete, and up to date.

2. Description of Services

DominiqueAI provides AI-powered communication, automation, and client support tools designed to assist tax professionals and other service providers in managing client engagement, marketing, and operations. We may modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. Account Registration & Security

You must create an account to access most Services. You agree to:

• Maintain accurate and current account information;
• Protect your login credentials and not share them with others;
• Notify us immediately at support@dominiqueai.com of unauthorized use.

You are responsible for all activity conducted under your account, whether authorized or not.

4. Subscription, Payments, and Refund Policy

Certain features require paid subscriptions. By subscribing, you authorize the Company to charge your designated payment method for recurring fees as described at signup.

• Billing Cycle: Charges recur on a monthly or annual basis depending on your plan.
• Refunds: All payments are non-refundable, except as required by law.
• Cancellations: You may cancel at any time, but cancellation does not relieve you of payment obligations for the current billing cycle.
• Pricing Changes: We may adjust pricing with reasonable notice via email or in-app notification.

If payment fails, we may suspend or terminate your account until payment is received.

5. Acceptable Use Policy

You agree not to:

1. Use the Services for any unlawful purpose or in violation of any local, state, national, or international law;

4. Reverse-engineer, decompile, or attempt to extract source code or algorithms from the Services;
5. Resell, sublicense, or redistribute the Services without prior written consent;
6. Use the Services in a way that could interfere with others’ use or harm the integrity or performance of the system.

Violations may result in immediate suspension or termination of your account.

6. Intellectual Property Rights

All content, code, design, AI models, processes, and software comprising the Services are the exclusive property of FanTouch Solutions LLC and its licensors.

You are granted a limited, revocable, non-transferable, non-exclusive license to use the Services solely for your business operations and in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the Services without written authorization.

7. Data Ownership & Use

You retain ownership of any data, client information, or content (“User Data”) you submit. By using the Services, you grant the Company a limited license to host, store, process, and display User Data solely for the purpose of operating and improving the Services. We do not claim ownership of your content or clients, and we do not share your proprietary information with third parties except as described in the Privacy Policy.

8. Third-Party Integrations

DominiqueAI may integrate with external platforms (e.g., Gmail, Outlook, Google Calendar, social media, payment processors). Your use of third-party integrations is governed by their respective terms and policies. We are not responsible for data handling, outages, or errors caused by third-party systems.

9. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information obtained in connection with the use of the Services. This obligation survives termination of your account.

10. Indemnification

You agree to defend, indemnify, and hold harmless DominiqueAI, FanTouch Solutions LLC, and their officers, employees, affiliates, and licensors from any claim, demand, loss, damage, or expense (including attorneys’ fees) arising out of:

• Your use or misuse of the Services;
• Violation of these Terms; or
• Infringement of any third-party rights, including intellectual property or privacy rights.

11. Limitation of Liability

To the maximum extent permitted by law:

• DominiqueAI and FanTouch Solutions LLC shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claim arising from or related to these Terms shall not exceed the total amount paid by you to DominiqueAI during the three (3) months preceding the claim.

You acknowledge that your use of the Services is at your sole risk.

12. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee uninterrupted or error-free operation, or that the Services will meet your specific requirements or expectations. DominiqueAI is not a tax preparation system, and we make no representations regarding legal or financial outcomes derived from using the platform.

13. Suspension and Termination

We may suspend or terminate your access immediately, without notice, if you:

• Violate these Terms;
• Fail to make timely payment; or
• Engage in fraudulent, abusive, or harmful behavior.

Upon termination, your access to data may be restricted or deleted as required by law or retention policy.

14. Changes to the Terms

We may revise these Terms from time to time. The latest version will always be posted on our website. Your continued use of the Services after any update constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute or claim shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Dallas County, Texas, under the rules of the American Arbitration Association. You waive any right to participate in class actions or jury trials.

16. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, along with the Privacy Policy and any supplemental agreements (such as Beta Tester Agreement), constitute the entire understanding between you and FanTouch Solutions LLC regarding the Services and supersede all prior communications or representations.
